Welcome to the website of Laurier Capital Management Inc. Please read this Legal Notice and Terms of Use (the “Terms”) carefully before using the Site.

1. Who we are

This website, accessible at www.lauriercapital.ca (the “Site”), is published and operated by Laurier Capital Management Inc. (in French, Gestion Laurier Capital Inc.), a corporation having its head office at 1900-1800 McGill College Avenue, Montréal (Québec) H3A 3J6 (“Laurier Capital”, “we”, “us” or “our”).

“You” or “the user” means any person who accesses or uses the Site and, where applicable, the company or other entity on whose behalf that person is acting. Our “affiliates” are the entities that control, are controlled by or are under common control with Laurier Capital.

2. Acceptance of these Terms

By accessing or using the Site, you agree to be bound by these Terms and by our Privacy Policy, available at https://lauriercapital.ca/privacy-policy/, which forms part of these Terms by reference. If you do not agree with any part of these Terms, please do not use the Site.

The Site is intended for a business and professional audience (tenants, brokers, partners, investors and suppliers) and for members of the public seeking information about Laurier Capital and its properties. No part of the Site is directed at minors.

3. Purpose of the Site: information only

Virtual showcase. The Site presents Laurier Capital and the properties and projects that it owns, co-owns, develops or manages, including properties that belong to its affiliates, partners or third parties and for which Laurier Capital acts as manager. The Site is provided for general information purposes only.

No offer. Nothing on the Site constitutes an offer to lease, sell, purchase or finance any property, or an offer or solicitation of any other kind. Property information, including descriptions, availability, areas, floor plans, renderings, photographs, specifications, rental rates, prices and delivery dates, is indicative only, may be approximate, and may be changed or withdrawn at any time without notice.

Binding only in writing. No lease, offer to lease, agreement of purchase and sale, financing or other transaction arises from your use of the Site or from any inquiry, request or communication sent through it. Laurier Capital is bound only by a definitive written agreement duly signed by its authorized representatives.

No advice. The content of the Site is not legal, financial, tax, investment, real estate brokerage, engineering or other professional advice, and it does not create any brokerage, agency, advisory or fiduciary relationship between you and Laurier Capital. Obtain independent professional advice before making any decision based on the content of the Site.

4. Investment information

No securities offer. Nothing on the Site constitutes an offer to sell, or a solicitation of an offer to buy, any security, partnership interest or other investment in any jurisdiction. Any investment opportunity involving Laurier Capital or its affiliates is made available only to eligible persons, in compliance with applicable securities laws, and solely on the basis of definitive offering and subscription documents, which prevail over any information found on the Site.

Forward-looking information. The Site may contain forward-looking statements, such as development plans, projected timelines, targets, market outlooks or performance expectations. These statements reflect our current expectations and involve known and unknown risks and uncertainties; actual results may differ materially from them. Past performance is not indicative of future results. We assume no obligation to update forward-looking statements.

5. Intellectual property

Ownership. The Site and all of its content, including texts, images, photographs, renderings, videos, virtual tours, plans, maps, logos, graphics, designs, data and software, as well as their selection and arrangement (the “Content”), are the exclusive property of Laurier Capital, its affiliates or its licensors and are protected by the Copyright Act (Canada), the Trademarks Act (Canada) and other applicable intellectual property laws in Canada and abroad.

Trademarks. Laurier Capital, its logo and the names and logos of its properties and projects are trademarks or trade names of Laurier Capital or its affiliates, whether registered or not. Other names and logos appearing on the Site belong to their respective owners. The Site grants no licence or right to use any trademark.

Permitted use. You may view the Site and download or print extracts of the Content for your personal information or your internal business purposes only, provided that you keep all copyright and proprietary notices intact. Any other reproduction, modification, distribution, transmission, republication, display, framing, commercial exploitation or creation of derivative works from the Content, in whole or in part, without our prior written authorization is prohibited.

6. Acceptable use

When using the Site, you agree not to: (a) use the Site for any unlawful purpose or in breach of these Terms; (b) access or attempt to access any non-public part of the Site or its systems; (c) interfere with or disrupt the operation or security of the Site, including by introducing viruses or other harmful code; (d) use robots, scrapers, crawlers or other automated means to access, extract or collect Content or data from the Site, including for text and data mining or for training artificial intelligence or machine learning models; (e) impersonate any person or misrepresent your affiliation with any person or entity; or (f) use the Content or any information obtained from the Site to send unsolicited communications.

Suspension of access. We may restrict, suspend or terminate your access to all or part of the Site, without notice or liability, if we believe that you have breached these Terms or that your use presents a risk to the Site, to Laurier Capital or to third parties.

Responsibility for breach. You are responsible for, and agree to indemnify Laurier Capital against, any claim, loss or expense arising from your breach of these Terms or your misuse of the Site.

7. Inquiries and communications

Any inquiry, request, comment or other communication that you send to us through the Site (by form, e-mail or otherwise) is received without any commitment on our part. It does not reserve any premises, create any priority or exclusivity, or oblige us to respond or to enter into any agreement. Personal information contained in your communications is handled in accordance with our Privacy Policy. Please do not send confidential or sensitive information through the Site’s forms.

8. Links and third-party content

The Site may contain links to third-party websites, applications or services (for example, maps, virtual tour platforms, social media or partner sites) and may display content supplied by third parties. These links and this content are provided for convenience only. We do not control or endorse third-party sites or services, we assume no responsibility for their content, availability, security, privacy practices or accuracy, and we are not liable for any loss or damage arising from your use of them. Your use of third-party sites and services is governed by their own terms and privacy policies, which we encourage you to read.

Linking to the Site. You may link to the Site’s home page provided that the link is fair and lawful, does not suggest any affiliation with or endorsement by Laurier Capital, and does not frame the Site. We may withdraw this permission at any time.

9. Privacy and cookies

The collection, use, disclosure and retention of personal information through the Site are governed by our Privacy Policy, available at https://lauriercapital.ca/privacy-policy/. The Site uses cookies and similar technologies as described in the Privacy Policy. Where the law requires it, we obtain your consent before using technologies that identify, locate or profile you.

10. Availability, security and disclaimer of warranties

The Site and the Content are provided “as is” and “as available”, without warranty or condition of any kind, express or implied, including any warranty of accuracy, completeness, timeliness, merchantability, fitness for a particular purpose or non-infringement, to the fullest extent permitted by applicable law.

We strive to keep the Content accurate and up to date, but we do not warrant that the Site will be accurate, complete, error-free, uninterrupted or secure, that it will be free of viruses or other harmful components, or that defects will be corrected. We may modify, suspend or discontinue all or part of the Site at any time without notice. You are responsible for your own equipment, software and security measures, and you use the Site at your own risk.

11. Limitation of liability

To the fullest extent permitted by applicable law, Laurier Capital, its affiliates, and their respective directors, officers, employees, agents, suppliers and licensors are not liable for any direct, indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, business, opportunity, data or goodwill, arising out of or in connection with your access to or use of the Site or the Content (or your inability to access or use them), any reliance on the Content, or any third-party site or service, whether the claim is based on contract, extra-contractual liability (including negligence) or any other basis, even if we have been advised of the possibility of such damages.

Nothing in these Terms excludes or limits a liability that cannot be excluded or limited under applicable law, including liability for bodily or moral injury or for damage caused by an intentional or gross fault (article 1474 of the Civil Code of Québec), or your rights under the Consumer Protection Act (Québec) where it applies to you. Where liability cannot be excluded, it is limited to the greatest extent permitted by law.

12. Changes to these Terms and to the Site

We may modify these Terms at any time. The updated version takes effect when it is posted on the Site, and the “Last updated” date at the top of this page identifies the current version. Your continued use of the Site after a change constitutes acceptance of the updated Terms. We encourage you to review this page periodically. We may also change, suspend or discontinue any aspect of the Site at any time.

13. Governing law and jurisdiction

These Terms and your use of the Site are governed by the laws of the Province of Québec and the federal laws of Canada applicable therein, without regard to conflict of laws rules. Subject to any mandatory rules of law that apply to you, any dispute arising out of or relating to these Terms or the Site shall be submitted to the exclusive jurisdiction of the courts of the Province of Québec, judicial district of Montréal.

Informal resolution first. Before commencing any proceeding, we invite you to contact us at info@lauriercapital.ca   so that we may try to resolve the matter informally.

14. Language

These Terms are published in French and in English. The French version (“Avis légal et conditions d’utilisation”) is the reference version and prevails in the event of any inconsistency. If you consult the English version, you acknowledge that the French version was made available to you.

15. General provisions

Entire agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Laurier Capital regarding the use of the Site and supersede any prior understanding on the same subject.

Severability. If any provision of these Terms is held invalid or unenforceable, it will be applied to the maximum extent permitted and the remaining provisions will remain in full force.

No waiver. Our failure or delay in exercising any right under these Terms is not a waiver of that right or of any other right.

Assignment. You may not assign your rights or obligations under these Terms. We may assign them to an affiliate or to a successor, including in connection with a reorganization, merger or sale.

Headings. Headings are for convenience only and do not affect interpretation.
